1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the FastMetrics IT platform, including our website, APIs, SDKs, dashboards, and all related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

FastMetrics provides a real-time business intelligence and analytics platform that enables customers to ingest, process, analyze, and visualize event data. The Service includes data ingestion APIs, a query engine, dashboard builder, alerting system, and reporting tools. Service features and availability may vary by subscription plan.

4. Subscription and Billing

The Service is offered under various subscription plans. Fees are charged in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly set forth herein or required by applicable law.

Usage-based charges (events exceeding plan limits) are billed in arrears at the end of each billing cycle. We will notify you when your usage approaches your plan limit.

We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of the next billing cycle following the notice period.

5. Data Ownership

Your Data: You retain all rights to the data you submit to the Service ("Customer Data"). We process Customer Data solely to provide the Service and in accordance with our Privacy Policy and Data Processing Agreement.

Aggregated Data: We may collect and use aggregated, anonymized data derived from your use of the Service for purposes of improving the Service, generating benchmarks, and conducting research. Such aggregated data will not identify you or any individual.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Reverse-engineer, decompile, or disassemble any aspect of the Service
• Use the Service to store or transmit malicious code or harmful content
• Exceed your plan's rate limits in a manner designed to disrupt the Service
• Resell or redistribute the Service without prior written consent

7. Service Level Agreement

We commit to the following service levels for paid plans:

If we fail to meet the applicable uptime commitment, you may be eligible for service credits as described in our SLA documentation.

8. Intellectual Property

The Service, including all software, algorithms, interfaces, documentation, and trademarks, is owned by FastMetrics IT and protected by intellectual property laws. These Terms do not grant you any rights to use FastMetrics trademarks, logos, or brand features without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FASTMETRICS IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting support. Upon termination:

• Your access to the Service will be revoked at the end of your current billing period
• You may export your data for up to 30 days following termination
• After the 30-day export period, your data will be deleted in accordance with our data retention policy

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
